Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Ebk Services Inc. regarding your use of our website and services. By accessing or using our services, you agree to be bound by these terms. If you disagree with any part of these terms, you may not access our services.

Payment Terms

Invoices are due within 30 days of the invoice date
Late payments may incur interest charges at the rate of 1.5% per month
We reserve the right to suspend services for accounts with overdue payments
All fees are non-refundable unless otherwise specified in writing
Prices are subject to change with 30 days notice

Confidentiality

Both parties acknowledge that during the course of our business relationship, they may have access to confidential information. Each party agrees to:

Maintain the confidentiality of all proprietary information
Use confidential information only for the purposes of the business relationship
Not disclose confidential information to third parties without prior written consent
Return or destroy confidential information upon request or termination of services

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

We make no warranties, expressed or implied, regarding the operation or availability of our services
We do not warrant that our services will be uninterrupted, secure, or error-free

Limitation of Liability

To the maximum extent permitted by applicable law, Ebk Services Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

Your access to or use of or inability to access or use our services
Any conduct or content of any third party on our services
Any content obtained from our services
Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Ebk Services Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys fees and costs, arising out of or in any way connected with your access to or use of our services, your violation of these terms, or your infringement of any intellectual property or other rights of any third party.

Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these terms. Upon termination, your right to use our services will immediately cease.

Either party may terminate a service agreement in accordance with the termination provisions specified in that agreement. Termination does not relieve either party of obligations incurred prior to termination.

Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue other available legal remedies.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these terms unenforceable or invalid as a whole. Such provisions shall be deleted without affecting the remaining provisions herein.

Entire Agreement

These Terms of Service, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Ebk Services Inc. regarding our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Amendments

We reserve the right to modify or replace these terms at any time at our sole discretion. Material changes will be notified through our website or via email. Your continued use of our services after any such changes constitutes your acceptance of the new terms.

Client Responsibilities

Warranties

These warranties are valid for a period specified in individual service agreements, typically 90 days from delivery unless otherwise stated.

Limitation of Liability

Maintenance and Support

Termination Rights

Upon termination, you shall pay for all services performed up to the termination date. We will cooperate in the orderly transition of services.

Insurance

EBK Service maintains appropriate professional liability insurance, general liability insurance, and other coverage as required by law or contract. Certificates of insurance are available upon request.

Assignment

You may not assign or transfer these terms or any rights or obligations hereunder without our prior written consent. We may assign these terms or any rights hereunder to any affiliate or in connection with a merger, acquisition, or sale of assets.

Waiver

No waiver by Ebk Services Inc. of any term or condition set forth in these terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these terms shall not constitute a waiver of such right or provision.

Notices

All notices under these terms shall be in writing and shall be deemed given when delivered personally, sent by confirmed email, or sent by certified or registered mail, return receipt requested, to the addresses specified in the service agreement or to the contact information provided on our website.

Survival

Provisions of these terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, confidentiality obligations, warranty disclaimers, indemnification, and limitations of liability.
